Terms of Service

Welcome to PoolDial, operated by Idappaccayata, LLC. These Terms of Service ("Terms") govern your access to and use of PoolDial's pool service business management software, websites, mobile applications, AI assistants, communications tools, and related services (the "Service"), including free trials and free accounts. By using PoolDial, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using PoolDial, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our service.

2. Description of Service

PoolDial provides business management software designed for pool service professionals. Depending on your plan, the Service may include:

Cody, AI Features, and Automated Actions

When you or your authorized users instruct Cody or another AI feature to take an action, or enable an automated workflow, you authorize PoolDial to carry out that action within the applicable account permissions, instructions, settings, and any confirmations required by the feature. Actions may include updating records, changing schedules, sending communications, creating or sending invoices, and initiating supported payment operations. An enabled workflow may perform recurring actions without a separate instruction each time. You are responsible for the instructions and permissions you provide, reviewing workflow settings and results, and disabling workflows you no longer authorize.

AI outputs may be inaccurate, incomplete, or unsuitable for a particular situation. You must review important outputs before relying on them, including customer communications, financial information, service recommendations, and chemical calculations. Verify chemical dosing and equipment guidance against actual site conditions, product labels, manufacturer instructions, and qualified professional judgment. AI features do not replace professional inspection or legal, tax, accounting, or safety advice, and are not an emergency response service.

These permissions do not authorize actions outside your instructions or applicable permissions, replace a customer's required consent to a payment or communication, or waive obligations or liability that cannot be excluded under applicable law.

3. Account Registration

To use PoolDial, you must:

We may request information reasonably necessary to verify your identity, business, authority to act for that business, or eligibility for the Service. You must respond accurately within a reasonable period specified in our request. We may decline registration or restrict access while verification is pending, or suspend or terminate access under Section 13 if verification fails or you do not cooperate. You may not create accounts to evade a suspension, termination, trial limit, or other restriction without our prior written permission.

You are responsible for ensuring that your use of recording features complies with applicable laws, including:

PoolDial does not provide legal advice. You should consult with legal counsel regarding call recording requirements in your jurisdiction.

Calls, SMS, Email, and Automated Communications

You are responsible for the content, recipients, timing, and lawful purpose of communications you send or configure through the Service, including AI-generated and automated communications. You must obtain any required consent before contacting or recording a person, provide required sender identification and disclosures, retain evidence of consent as required by law and applicable provider policies, and promptly honor unsubscribe, do-not-call, and other opt-out requests. Importing a contact or having a business relationship does not by itself establish every permission needed for marketing.

You must comply with applicable communications laws and carrier requirements and, when using Twilio-powered features, the Twilio Acceptable Use Policy and Twilio Messaging Policy. You may not bypass suppression lists or opt-out controls. You must reasonably cooperate with requests to verify consent or investigate complaints. Under Section 13, we may restrict sending, disable a communication channel, or suspend communications features to address suspected violations without suspending your entire account. Delivery, timing, and receipt of communications are not guaranteed. These responsibilities do not relieve PoolDial of its own obligations under applicable law.

You agree not to use PoolDial to:

Unauthorized Marketing and Solicitation

Without our prior written permission, you may not use accounts, free trials, onboarding submissions, support channels, or other parts of the Service to advertise or solicit business from PoolDial, its personnel, or other PoolDial users for products or services unrelated to your authorized use of PoolDial. You may not collect or harvest contact information from the Service for those purposes.

This restriction does not prevent legitimate pool businesses from using PoolDial's intended website, messaging, and other business features to promote their own pool services or communicate with their own customers and prospects, provided those activities comply with these Terms, applicable law, and required consent and opt-out requirements.

6. Pricing and Payment

Subscription Plans

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

Free Trials and Free Accounts

Free trials, free accounts, and promotional access are subject to eligibility requirements and limits we disclose. Unless we expressly agree otherwise in writing, we may decline, limit, suspend, shorten, or end this access at any time, for any lawful reason or no reason, in our discretion, with or without prior notice, except where notice is required by law. This includes inactivity, unsuccessful verification, suspected misuse, or changes to our trial program. An advertised trial duration is the maximum available period, subject to these rights. If we end a free trial early, we will not automatically convert it to a paid subscription or charge a subscription fee for the unused trial period.

Your Customer Transactions and Stripe

You are the provider of the pool services and other goods or services you sell to your customers. You are responsible for delivering that work, setting and accurately describing prices and taxes, reviewing invoices, obtaining payment authorizations, and handling customer service, refunds, and disputes. PoolDial provides software and payment integrations; it does not perform or guarantee your pool services, determine your tax obligations, or guarantee collection of an invoice.

Payment processing through Stripe is subject to the Stripe Connected Account Agreement and applicable Stripe terms. When you connect a Stripe account and use our payment features, you authorize PoolDial to exchange necessary account and transaction information with Stripe and initiate supported operations on your behalf according to your instructions, authorized users' actions, and enabled billing settings. These may include creating customer and payment records, collecting authorized payments, retrying failed payments under enabled collection settings, and processing requested refunds. You must obtain all required authorization for saved payment methods, recurring or off-session charges, and retries; connecting Stripe alone does not provide your customers' consent.

Stripe processing fees and any PoolDial platform fees must be disclosed in the applicable pricing or payment setup before they apply. You authorize deduction of those disclosed fees through Stripe where supported. You are responsible for customer refunds, chargebacks, reversals, and related fees to the extent assigned to you by applicable payment agreements and law. Any processing fee or surcharge you choose to pass to a customer must be lawful, properly disclosed, and permitted by applicable payment-network rules. Stripe may delay, decline, or restrict transactions or payouts under its terms. This section does not change PoolDial's obligations to Stripe or excuse PoolDial from responsibility imposed by applicable law.

Ownership and Permission to Process Customer Data

As between you and PoolDial, you retain your rights in the information and materials you or your authorized users submit, import, or collect through the Service ("Customer Data"), including customer records, service history, photos, documents, recordings, messages, and AI inputs. You grant PoolDial a non-exclusive, limited license to host, copy, process, transmit, and display Customer Data as necessary to provide, maintain, secure, and support the Service, carry out your authorized instructions, and meet applicable legal obligations. We may use service providers for those purposes, including hosting, communications, payment, and AI providers, subject to applicable confidentiality, privacy, and data protection obligations.

You represent that you have the rights and permissions needed to provide Customer Data and authorize this processing, including required notices and permissions from your customers, personnel, and other affected people. You are responsible for the accuracy and lawful collection of Customer Data. When you use AI features, relevant inputs and context may be processed by AI providers to generate responses or perform your requested tasks.

This license does not transfer ownership of Customer Data to PoolDial or authorize its sale or use to train unrelated general-purpose AI models. Processing, retention, and deletion remain subject to our Privacy Policy, applicable law, and any separate data processing agreement between you and PoolDial. If such an agreement applies, it controls in the event of a conflict concerning the processing of personal data. The license ends when the relevant Customer Data is deleted, subject to lawful retention and processing obligations. Nothing in this section limits individuals' applicable privacy rights or PoolDial's own data protection obligations.

PoolDial and its content, features, and functionality are owned by us and protected by copyright, trademark, and other laws. You may not:

Marketing Use of PoolDial Materials

Except as permitted by applicable law or our published brand permissions, you must obtain our prior written permission before using PoolDial's name, logos, screenshots, recordings, or other proprietary materials in advertising or promotional materials for your products or services. You may not falsely imply that PoolDial sponsors, endorses, or is affiliated with you. This provision does not restrict lawful reviews, criticism, reporting, comparative advertising, or other uses protected by applicable law, or your authorized use of PoolDial's intended business features.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POOLDIAL SHALL NOT BE LIABLE FOR:

POOLDIAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

13. Suspension and Termination

Misuse, Risk, and Verification

To the extent permitted by applicable law, we may immediately limit or suspend any part of the Service, terminate your account or subscription, or decline further service if we reasonably believe that:

We may act on reasonable suspicion without waiting for proof of fraud, actual harm, or a legal finding. We may also restrict or terminate access when required by law or a binding requirement of a service provider necessary to deliver the Service. We may act without prior notice when reasonably necessary to investigate suspected misuse, prevent harm, protect the Service, or comply with legal requirements. Otherwise, we will provide reasonable notice and, where appropriate, an opportunity to resolve the issue. Any notice or other protections required by applicable law still apply.

Termination Without Cause

In addition to the rights above, we may terminate a paid account or subscription for any lawful reason or no reason by giving at least 30 days' notice to the email address associated with your account. If we do so, we will refund prepaid subscription fees attributable to the period after termination. Free trials, free accounts, and promotional access may be ended as described in Section 6.

Effect of Suspension or Termination

During suspension, access to affected features may be unavailable. Upon termination, your right to use the Service ends and future subscription renewals will stop. You remain responsible for valid charges incurred before termination. Refunds are governed by Section 6, the termination-without-cause provision above, and applicable law.

Where reasonably practicable and legally permitted, we will provide a reasonable opportunity to request an export of your data before termination takes effect. Access or export may be restricted where necessary to protect security, privacy, an investigation, or legal obligations. Data retention and deletion remain subject to our Privacy Policy and applicable law. You may contact contact@pooldial.com to request review of a suspension or termination or to discuss data access. A review request does not automatically restore access.

14. Modifications to Terms

We may update these Terms from time to time. We will provide notice of material changes via email or through our service. Continued use after changes constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, conducted in Arizona, except where prohibited by law. You and PoolDial agree to submit to the personal jurisdiction of the courts located within Arizona for any actions for which the parties retain the right to seek injunctive or other equitable relief.
